By accessing the website or contracting the technology services of Value Plus Technology, LLC, you agree to be bound by these Terms of Service. If you do not agree to these terms, you are prohibited from utilizing our services or accessing our proprietary service methodologies.
Value Plus Technology, LLC provides managed IT support, cybersecurity services, cloud solutions, and technology consulting. The exact scope of work, deliverables, and estimated timelines will be detailed in an individualized Statement of Work (SOW) or Master Service Agreement (MSA). While Value Plus Technology, LLC commits to adhering to established timelines, delays caused by client unresponsiveness, slow approvals, or third-party vendor processes will extend projected deadlines.
All services are billed according to the agreed-upon contract. Retainer services are typically billed at the beginning of each cycle. Ad spend budgets are strictly the responsibility of the client and are paid directly to relevant third-party technology vendors unless specifically stated otherwise. Value Plus Technology, LLC reserves the right to pause service management if fees are not paid within the stipulated invoice period.
Upon full payment of applicable fees, the client assumes ownership of final deliverables such as system documentation, configurations, and related accounts. However, the proprietary strategies, internal software processes, and operational frameworks utilized by Value Plus Technology, LLC to achieve these results remain the exclusive intellectual property of Value Plus Technology, LLC.
To ensure optimal service performance, the client agrees to provide necessary access to systems, platforms, and relevant accounts in a timely manner. The client guarantees that all data, credentials, and information provided to Value Plus Technology, LLC for service delivery do not infringe upon any third-party rights.
Either party may terminate a service contract subject to the notice periods outlined in the respective MSA. Upon termination, Value Plus Technology, LLC will transfer relevant client-owned assets back to the client, provided all outstanding invoices have been settled in full.
These terms shall be governed by and construed in accordance with the jurisdiction in which Value Plus Technology, LLC operates, without regard to its conflict of law provisions.
